The Board of Directors
The Articles of Association of the Company require a minimum membership of two, with a maximum of fifteen.
At least two thirds of the membership must be parents or carers of persons who participate in our activities.
The quorum at any board meeting must be at least fifty percent of the current board members.
The Board is responsible for every aspect of our activities, existing or new.
The main focus is the continuing efforts to obtain sufficient financial support via local government sources, various charitable trusts and staff and parental fundraising. Due to the complex needs of most of our service users we can never be self supporting.
Responsibilities under company law and other various statutes include for example:
- Maintenance of proper accounting records, which disclose at any time the current financial position of the company and facilitate compliance with the Companies Act.
- Safeguarding the Company assets.
- Adherence to all applicable current legislation - Employment law, Health and Safety etc.
- Maintenance of proper Minutes of all Board and General meetings.
- Circulation of Annual Accounts to all members and convening an Annual General Meeting of members each year.
Day to Day Management
The Board delegates to the Company Secretary/Chief Executive the responsibility for the day to day implementation and improvement of our services and activities, assisted by our full/part-time and sessional staff.
Detailed reports of all activities are made to the board at each meeting.
A sub committee consisting of The chair/treasurer and Chief Executive has defined powers for capital expenditure, part time/sessional staff wages etc. This group meets on a regular basis. All other decisions are taken at board meetings. There are seven trustees at present and we often use outside advisors as required. The trustees meet a minimum of four times years and hold an A.G.M. Extra meetings are called if required.
Out Staff Team
The staff team is the vital ingredient in all our services.
The over- all management of the organisation is led by our Chief Executive Jane Hook M.B.E and our newly appointed Services Manager Julie Cowan.
The board is in the process of a strategic review for our main services for children and young adults affected by disability. This is to ensure that the organisation will run smoothly as our services continue to expand and develop to meet in particular the new Self Directed Support and Personalisation Agenda.
Our Nursery Team
We started our term-time only nursery in 2005 with funding from the Big Lottery.The nursery staff team is led by Debbie Cree and a strong team of Child development officers. We have a baby/’tweenies’ room with six babies and ten ‘tweenies’ age 2-3.
Our 3-5 room can accommodate 28 children per day.
